The Services, and all content and materials made available through it, including but not limited to software, source code, algorithms, features, functionality, text, graphics, logos, icons, images, audio, video, user interface, design, compilations, and all related intellectual property rights (collectively, “studywithsage Content”), are owned by or licensed to studywithsage and are protected by copyright, trademark, database rights and other intellectual property laws.
Except for the limited licence expressly granted to you under these Terms, you do not acquire any right, title or interest in or to the Services or any studywithsage Content. All rights not expressly granted to you are reserved. You must not copy, modify, adapt, translate, create derivative works of, distribute, sell, lease, sublicense or otherwise exploit any part of the Services or Study With Sage Content without our prior written consent.
“User Content” means any content or information that you submit, upload, transmit or otherwise make available through the Services, including text inputs, messages, profile information and any other data or materials you provide.
You retain all ownership rights you have in your User Content. By submitting User Content through the Services, you grant Study With Sage a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, display and otherwise use your User Content as reasonably necessary to: (a) operate, maintain and provide the Services; (b) personalize and improve your learning experience; and (c) comply with law and enforce these Terms.

The Site may offer certain features, content or services for a fee, including monthly or yearly subscriptions (“Paid Subscriptions”). If you choose to make a purchase on our Site, you agree to pay the applicable fees.
Purchases are processed by third-party payment providers such as Stripe. The price, billing frequency, automatic renewal terms and any other purchase terms will be presented to you by the relevant Payment Provider at or before the point of purchase.
If your purchase is a Paid Subscription, it will generally automatically renew at the end of each subscription period at the then-current price unless you cancel it in accordance with the instructions provided. Study With Sage is not responsible for any errors, delays or failures by any Payment Provider.
The Site and all Services, features and content made available through it are provided “as is” and “as available”, with all faults and without warranties of any kind, whether express, implied or statutory.
To the fullest extent permitted by law, studywithsage disclaims all warranties and conditions of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment and non-infringement.
Studywithsage does not warrant that the Services will be uninterrupted, secure or error-free, or that any defects will be corrected. You are solely responsible for evaluating and verifying any content before relying on it, especially for high-stakes purposes such as examinations, academic submissions, professional certifications, medical, legal, or immigration purposes.
Where the Site uses artificial intelligence or machine-learning technologies to generate study content or suggestions (“AI Outputs”), such AI Outputs may be incorrect, incomplete, misleading or otherwise inappropriate. Studywithsage does not guarantee the accuracy, reliability, completeness or usefulness of any AI Outputs. You are solely responsible for how you use and rely on any AI Outputs.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STUDY WITH SAGE, ITS AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, INCOME, PROFIT OR GOODWILL, LOSS OF OR DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICES, HOWEVER CAUSED, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PROPRIETARY RIGHTS INFRINGEMENT, PRODUCT LIABILITY OR OTHERWISE.
IF YOU BECOME DISSATISFIED IN ANY WAY WITH THE SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP YOUR USE OF THE SERVICES. IF ANY PORTION OF THIS LIMITATION ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE, THEN OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend and hold harmless studywithsage and its affiliates, officers, directors, employees, agents and licensors from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content, including any allegation that such content infringes any third-party rights or breaches any applicable law; or (c) your breach of these Terms.
Studywithsage may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that: (a) you have breached these Terms; (b) your use of the Services poses a security risk or could cause harm; (c) we are required to do so by law; or (d) it is no longer commercially viable for us to provide the Services.
You may stop using the Services at any time and may delete your account by contacting us at studywithsage.ai@gmail.com or through your account settings.
We may change these Terms from time to time to reflect changes to our services, our business practices or applicable laws. When we make changes, we will post the updated Terms on our Site and update the “Last Updated” date at the top. Your continued use of the Services after the updated Terms have become effective will constitute your acceptance of the changes.
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
Before filing any claim against Study With Sage, you agree to first contact us at studywithsage.ai@gmail.com and to attempt to resolve the dispute informally. If we are unable to resolve the dispute within thirty (30) days, you or Study With Sage may pursue your claim as permitted by these Terms.
To the fullest extent permitted by applicable law, you and studywithsage agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class action.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America. You and Study With Sage agree that the courts located in Delaware will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Services.
These Terms (together with our Privacy Policy) constitute the entire agreement between you and studywithsage in relation to the Services. You may not assign, transfer or delegate any of your rights or obligations under these Terms without Studywithsage's prior written consent. Study With Sage may assign or transfer its rights and obligations without restriction.
The Services may contain links to third-party websites, content, services or applications. Third-Party Services are not under studywithsage control. Studywithsage does not endorse or assume any responsibility for any Third-Party Services, and your use of them is at your own risk.
